These terms govern your use of Soxify and describe service rules, billing, and legal responsibilities.

1. Acceptance and Scope
By accessing or using Soxify, you agree to these Terms of Service. These terms apply to all users, including workspace owners, admins, preparers, reviewers, and control owners who submit evidence through secure links.
2. Eligibility and Accounts
You must have authority to act on behalf of your organization and comply with applicable law.
- You are responsible for account credentials and access controls.
- You must keep user and workspace information accurate and current.
- You must promptly disable access for users who no longer need it.
3. Workspace Administration
Workspace owners and admins control user invitations, role assignments, subscriptions, and billing settings. Your organization is responsible for actions taken under its workspace.
4. Service Use and Restrictions
You may use the service only for lawful compliance, audit, and internal control workflows.
- No unauthorized access, scanning, or circumvention attempts.
- No uploading malware, unlawful content, or harmful code.
- No reverse engineering except where law expressly permits.
- No abusive automation that degrades service performance.
5. Customer Data and Evidence
You retain ownership of content you upload or submit, including controls, workflows, instances, evidence files, and signoff records. You grant Soxify a limited right to process this data to operate, secure, and improve the service, including generating exports and audit trails.
6. Billing and Plan Limits
Paid subscriptions renew according to the selected billing cycle unless canceled. Free tier usage, plan features, and limits are shown in-product and may be updated with notice.
- Fees are non-refundable unless required by law.
- Taxes are your responsibility unless stated otherwise.
- Downgrades may reduce available limits going forward.
7. Third-Party Services
Soxify relies on infrastructure and service providers such as cloud storage, authentication, email, and payment processors. Availability of those providers may affect service operation.
8. Availability and Changes
We may change features to improve usability, security, or compliance. Material changes to these terms or pricing will be communicated through the product, email, or website.
9. Suspension and Termination
We may suspend or terminate access for violations of these terms, security threats, non-payment, or legal requirements.
Upon termination, access may be limited. Where feasible, data export options will remain available for a limited period.
10. Intellectual Property
Soxify and related software, documentation, trademarks, and branding are owned by Soxify and licensors. No rights are granted except as expressly stated in these terms.
11. Disclaimers
The service is provided on an as-available basis. To the extent permitted by law, Soxify disclaims implied warranties including merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
To the maximum extent permitted by law, Soxify will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, goodwill, data, or business interruption.
13. Indemnification
You agree to indemnify and hold Soxify harmless from claims arising from your misuse of the service, violation of these terms, or breach of law.
14. Governing Law and Disputes
These terms are governed by applicable law in the jurisdiction where Soxify operates, unless mandatory consumer law requires otherwise. Disputes should first be raised with us in good faith for resolution.
